Terms and Conditions
Welcome to Veda Labs ("Company", "we", "our", or "us"). These Terms and Conditions, which include our Acceptable Use Policy, and Data Privacy Policy (collectively, the "Terms"), is a legally binding contract governing your access to and use of our Unified AI Orchestration Engine, Multimodal APIs (Vedika-Gen 2.0), website, and all associated infrastructure (collectively, the "Services").
By generating an API key, executing code via our endpoints, or accessing our Services, you explicitly agree to these Terms. If you are accepting these Terms on behalf of an enterprise or entity, you represent and warrant that you possess the legal authority to bind such entity.
1. Access, Registration, and API Integration
1.1 Account Provisioning and Identity Verification
To interact with Veda Labs models, you must provision an account. You agree to provide exhaustive, accurate, and current data during provisioning, including corporate identity if applicable. You are strictly responsible for maintaining the absolute secrecy of your authentication credentials and API keys. You are fully accountable for all activities that occur under your account.
1.2 Unauthorized Key Usage and Sharing
API keys are strictly non-transferable. You shall not lease, sell, or distribute your API key. If we detect unauthorized sharing or leakage of keys on public repositories (e.g., GitHub), your access will be instantly and permanently revoked without notice. Veda Labs monitors token anomalies continuously to prevent API hijacking.
1.3 Service Interoperability and Attribution
You may integrate Veda Labs into your applications, provided your application does not inherently violate any clause within this extensive document. You must display "Powered by Veda Labs" or an equivalent attribution in your application's user interface if explicitly requested by our integration team.
2. Exhaustive Usage Policy & Rate Limits
2.1 "No Daily Limit" Architecture
Veda Labs operates on an unbound daily architecture to foster developer freedom. We do not restrict the total volume of requests per 24-hour cycle for standard developmental use, allowing your large-scale projects to run uninterrupted.
2.2 The 40 RPM Parameter
To safeguard our NVIDIA NIM infrastructure, all endpoints are restricted to a maximum throughput of 40 Requests Per Minute (RPM). This is a hard limit. Exceeding this via parallelized asynchronous requests or automated retry floods will trigger automatic IP blacklisting (HTTP 429 Too Many Requests) and possible account suspension.
2.3 Resource Exhaustion & Abuse
You agree not to deploy bots, scrapers, or continuous looping scripts solely designed to test our load balancing, perform DDoS simulations, or reverse-engineer our model routing architecture. Such actions are classified as a severe cyber-attack under applicable cyber laws and will be reported.
3. Comprehensive Multimodal AI Rules
Veda Labs provides advanced Generative AI capabilities (Text, Audio, Image, Video). The following restrictions apply to all generated outputs strictly and without exception:
3.1 Text & Code Generation Policy
- No Malicious Code: You must not prompt the AI to write malware, ransomware, polymorphic viruses, or exploits targeting specific vulnerabilities.
- No Phishing: Generating templates for phishing, social engineering, or fraudulent communications is completely prohibited.
- Hate Speech: The generation of text promoting violence or hatred against any race, religion, gender, or nationality is strictly forbidden.
3.2 Image & Video Generation Policy
- Deepfakes & Impersonation: Generating photorealistic synthetic media (deepfakes) of real, identifiable individuals (politicians, celebrities, private citizens) without their explicit consent is strictly banned.
- CSAM & Explicit Content: The generation of Child Sexual Abuse Material, non-consensual intimate imagery, or extreme gore will result in immediate termination and reporting to cyber authorities.
- Intellectual Property Bypass: You may not use image models to intentionally replicate copyrighted characters (e.g., Disney, Marvel) or watermarked assets belonging to third parties.
3.3 Audio & Text-to-Speech (TTS) Policy
- Voice Cloning Fraud: Replicating the voice biometric of a living or deceased person to commit financial fraud, bypass voice authentication, or spread misinformation is heavily penalized.
- Audio Deepfakes: Synthetic audio must not be used to create false statements attributed to public figures.
4. Extensive Data Privacy & Protection Policy
4.1 Ephemeral Processing
Veda Labs acts as a processor of your data. When you submit a prompt (text, image, or audio) to our API, we process it ephemerally to generate your output. We do not persistently store your raw input data to train our foundational models.
4.2 Telemetry and Logging
We collect essential system telemetry, which includes IP addresses, request timestamps, latency metrics, and API payload sizes. This data is strictly utilized for routing optimization on our servers, detecting abuse, and ensuring security. Personally Identifiable Information (PII) is stripped from logs.
4.3 Data Retention
Logs required for security audits are retained for a maximum of 90 days. Generated artifacts (images, video, audio) are temporarily cached for delivery to the client and are purged systematically from our edge servers.
4.4 Third-Party Processing
To provide high-speed responses, we may utilize third-party cloud infrastructure. By using Veda Labs, you consent to the secure routing of your data through our global infrastructure partners under strict confidentiality agreements.
5. Intellectual Property Rights & Licensing
5.1 Veda Labs IP
Veda Labs exclusively owns the orchestration engine, backend logic, website source code, APIs, branding, logos, and UI designs. You are granted a limited, non-exclusive, revocable license to access the API. You may not copy or resell our technology.
5.2 User Output Ownership
Veda Labs claims no proprietary rights over the code, images, video, or audio generated by you using our API. You are the owner of the generated outputs and may use them commercially, provided your prompts did not infringe upon existing third-party copyrights.
5.3 DMCA & Takedown Notices
If you believe Veda Labs has inadvertently generated content that infringes your copyright, please contact our legal department. We respect intellectual property rights and will investigate promptly without delay.
6. Warranties and Disclaimers
6.1 "As-Is" Provision
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VEDA LABS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2 Accuracy of Generative Content
Generative AI is probabilistic in nature. Veda Labs does not guarantee the factual accuracy, correctness, or reliability of generated code, text, or multimodal content. The developer is solely responsible for debugging, compiling, and testing all generated code before deploying it to production environments.
6.3 Medical & Legal Advice Disclaimer
Veda Labs' AI is not qualified to provide professional medical, legal, or financial advice. Any outputs generated must not be acted upon without consulting certified professionals.
7. Limitation of Liability
IN NO EVENT SHALL VEDA LABS, ITS FOUNDERS, DIRECTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF REVENUE, LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability shall in no event exceed the amount paid by you in the past 12 months.
8. Indemnification
You agree to fully indemnify, defend, and hold harmless Veda Labs from any and all third-party claims, lawsuits, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any laws or regulations; (c) any content you generate that infringes on third-party IP or privacy rights; or (d) any malicious code deployed by you.
9. Termination and Account Suspension
Veda Labs reserves the absolute right to suspend, throttle, or terminate your API access instantly, without notice, if we suspect a violation of these Terms, excessive bandwidth consumption, or any activity that compromises our infrastructure. Upon termination, all licenses granted to you cease immediately. You must delete all downloaded and cached data.
10. Governing Law, Jurisdiction, and Dispute Resolution
10.1 Governing Law
These Terms, and any dispute arising from the use of Veda Labs, shall be governed by and construed strictly in accordance with the laws of India, specifically including the Information Technology Act, 2000 and the Digital Personal Data Protection Act (DPDP), without regard to its conflict of law provisions.
10.2 Jurisdiction & Arbitration
Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts of India. You waive any objection to the exercise of jurisdiction over you by such courts. Any dispute shall first be attempted to be resolved through Arbitration.
10.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall in no way be affected or impaired.
11. Payment, Billing, and Subscription Policies
11.1 Subscription Fees & Auto-Renewal
Certain premium features of Veda Labs are available on a paid subscription basis. Payments will automatically renew according to your selected billing cycle (monthly or annually) unless you cancel your subscription at least 24 hours prior to the next billing date. All fees are non-refundable.
11.2 Payment Disputes & Chargebacks
If you wish to dispute a charge, you must notify us within 15 days of the transaction. Initiating unjustified chargebacks will result in immediate and permanent account suspension. We reserve the right to use third-party collection agencies to recover outstanding balances.
11.3 Taxes
You are fully responsible for paying all applicable local, state, and national taxes associated with your purchase of Veda Labs services. If we are legally obligated to collect taxes in your jurisdiction, that amount will be added to your invoice.
12. Service Level Agreement (SLA) and Uptime Guarantee
12.1 99.9% Uptime Guarantee
For Enterprise tier users, Veda Labs strives to guarantee a 99.9% uptime during a monthly billing cycle. If we fail to meet this service level, eligible customers may claim service credits for their next billing cycle. This SLA does not apply to free or standard tier accounts.
12.2 Scheduled Maintenance
We may temporarily halt the service with prior notice (at least 48 hours) for system upgrades and server maintenance. Downtime incurred during scheduled maintenance is not included in our SLA calculations. Emergency patching may occur without prior notice.
13. Confidentiality and Non-Disclosure
13.1 Definition of Confidential Information
During the course of using the Services, you may gain access to Veda Labs' confidential and proprietary information (e.g., unreleased APIs, model architecture weights, pricing strategies). You are obligated to hold this information in strict confidence and not share it with third parties.
13.2 Legal Disclosures
If you are legally compelled by a court order or government request to disclose Veda Labs' confidential information, you must notify us immediately (if legally permitted) so that we may seek a protective order.
14. Beta Services and Experimental Features
Veda Labs may occasionally offer features marked as "Alpha," "Beta," "Preview," or "Experimental" for testing and evaluation purposes. These features may be incomplete and contain bugs that could lead to data loss. No SLA or technical support warranty is provided for Beta Services. You utilize Beta features at your own risk.
15. Security and Vulnerability Disclosure
You agree not to probe, scan, or test the vulnerability of Veda Labs' infrastructure unless explicitly authorized under our Bug Bounty Program. If you discover a vulnerability, you must report it immediately to our security team (security@vedalabs.ai) without disclosing it publicly.
16. Third-Party Integrations and External Links
Our Services may contain links or integrations to third-party websites, data sources, or services that are not owned or controlled by Veda Labs. We assume no responsibility for the content, privacy policies, or practices of these third-party services. You acknowledge that Veda Labs is not liable for any external integration failures.
17. Audit Rights and Compliance
To ensure you are complying with these Terms (especially Rate Limits and Multimodal AI Rules), Veda Labs reserves the right to audit your API usage data at any time. If discrepancies are found during an audit, we may restrict your access and mandate that you modify your application architecture.
18. Feedback and Idea Ownership
If you submit feedback, ideas, or suggestions to Veda Labs for improving the Services, you acknowledge that we are free to use, modify, and incorporate those ideas into our Services without any obligation or royalties owed to you. Your suggestions will not be considered confidential.
19. Export Control and Trade Sanctions
You agree to comply with all applicable export control and trade sanction laws of the United States, India, and the United Nations. You shall not use Veda Labs services in a country or region subject to comprehensive trade sanctions, or by any individual listed on a Sanctioned Parties List.
20. Modifications to the Terms of Service
20.1 Update Process
Veda Labs reserves the absolute right to modify these Terms at any time. We will update the "Effective Date" at the top of this page. For significant material changes, we will send a notification to your registered email address or display a prominent notice within our developer dashboard.
20.2 Continued Use
Your continued use of the Veda Labs Services following the effective date of the modifications constitutes your acceptance of the new Terms. If you do not agree with the new Terms, you must cease using the API and terminate your account.
